Section 1 Scope and contracting parties
(1) These Terms and Conditions govern the business relationship between Christian Niehoff – LocoGPS (hereinafter “the Provider”) and its customers for the purchase of GPS tracking devices and the use of the LocoGPS tracking service via the LocoGPS app and the web portal live.locogps.de.
(2) The offer is aimed at consumers and businesses. A consumer is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial activity nor to their self-employed professional activity.
Section 2 Subject matter of the contract
(1) The Provider offers:
- GPS tracking devices for purchase (hardware)
- the LocoGPS tracking service on a subscription basis (hereinafter “subscription”), consisting of live tracking, position history, notifications and the other functions described in the app, including the SIM card built into the device and the data transmission
(2) The exact features are set out in the respective product description in the shop or in the plan overview in the app.
(3) The tracking service can be used worldwide wherever there is mobile network coverage at the respective location from the partner networks supported by the built-in SIM card. There is no entitlement to the service working at any given location.
(4) Purchased devices are delivered to the delivery address given in the order, to the countries offered in the shop. The delivery time and any shipping costs are shown on the product page and before the order is placed.
Section 3 Conclusion of the contract
(1) Hardware purchase:
- The presentation of the products does not constitute a binding offer.
- The contract is concluded when the order is confirmed; the customer receives an order confirmation by email.
(2) Subscription (tracking service):
- The contract is concluded directly in the LocoGPS app or in the web portal.
- The process consists of registering a user account, adding the device (device number/IMEI), selecting the plan, entering the payment details and concluding the contract via the correspondingly labelled button indicating an obligation to pay.
- The customer receives a contract confirmation by email.
(3) Taking out a subscription requires a compatible LocoGPS tracking device.
Section 4 Free trial period
(1) A free trial period is granted once for each device. Its duration (currently 30 days) is shown in the app when the subscription is taken out.
(2) At the end of the trial period, the subscription automatically converts to the paid plan selected when it was taken out, unless the customer cancels beforehand. The customer is informed of the upcoming end of the trial period and of the first charge when taking out the subscription and by email in good time before the trial period ends.
(3) The trial period is granted only once per device, even if a subscription is booked again, the device is deleted and added again or the device is transferred to another account.
Section 5 User account
(1) A user account is required to use the tracking service. Registration takes place in the app with name, a valid email address and a password; the email address is verified using a verification code.
(2) The customer is obliged to provide truthful information and keep it up to date and to protect their login credentials against access by third parties.
(3) The account can be deleted on request. If subscriptions are active, the account can only be deleted after they have ended. Once the account has been deleted, the tracking service can no longer be used.
Section 6 Prices and payment
(1) All prices are in euros and include statutory VAT. The prices shown in the shop at the time of the order or in the app at the time the contract is concluded apply.
(2) The following plans are currently available: monthly subscription (term of 1 month), annual subscription (term of 12 months) and 2-year subscription (term of 24 months).
(3) The fee is payable in advance at the beginning of each billing period and is collected via the payment service provider Stripe. The available payment methods are shown during the ordering process (currently credit/debit card, PayPal, Apple Pay and Google Pay).
(4) When purchasing devices, the purchase price is due when the order is placed. The available payment methods are shown before the order is placed (currently credit/debit card, Apple Pay, Google Pay, PayPal and Klarna). If payment is made with Klarna, Klarna’s terms and conditions also apply.
(5) Invoices are provided exclusively in electronic form by email.
Section 7 Term, renewal and cancellation
(1) The monthly subscription renews for a further month each time unless it is cancelled by the end of the current billing period.
(2) The annual subscription and the 2-year subscription do not end automatically. Before the initial term expires, the customer can actively renew their subscription for a further fixed term on the conditions offered at that time. If the customer neither actively renews nor cancels, the subscription continues for an indefinite period after the initial term has expired as a subscription billed monthly and can be cancelled at any time with one month’s notice. The regular monthly price stated when the contract was concluded then applies. In good time before the initial term expires, the Provider informs the customer by email of its upcoming end and of the continuation at the monthly price.
(3) The subscription can be cancelled at any time:
- in the app or in the web portal via the cancellation button on the device’s subscription page,
- via the cancellation button “Cancel contracts here” on live.locogps.de, which can be reached without logging in,
- or in text form by email to info@locogps.de.
(4) Cancellation takes effect at the end of the current billing period, unless paragraph 2 provides otherwise. Until then, the service can be used in full. A cancellation that has been given can be reversed in the app until it takes effect (reactivation).
(5) The right to extraordinary termination for good cause remains unaffected.
Section 8 Late payment
(1) If a charge fails, the Provider informs the customer by email. The payment service provider retries the collection automatically; the customer can also settle the outstanding invoice directly in the app at any time and change the payment method in doing so.
(2) The Provider is entitled to suspend the tracking service for the device concerned for as long as the fee due has not been paid. Once payment has been received, the service is reactivated without undue delay.
(3) If payment is still not made despite repeated attempts, the Provider is entitled to end the subscription by extraordinary termination.
(4) If the customer cancels a subscription while an invoice is outstanding, the Provider may end the subscription with immediate effect and cancel the outstanding invoice; in this case, the customer incurs no costs for the period in which the service cannot be used.
Section 9 Change of plan
(1) A change to a higher-value plan (e.g. from monthly to annual) is possible at any time in the app. Fees already paid for the remaining term are credited; any difference becomes due immediately. During a trial period, the new plan is only charged once the trial period has ended.
(2) A change to a lower-value plan is not possible. Instead, the customer can cancel at the end of the term and then book again.
Section 10 Device binding and transfer
(1) A subscription is tied to the respective device and cannot be transferred to other devices.
(2) A device can only be transferred to another user account (e.g. when it is sold or given away) if there is no active subscription for the device. A transfer does not revive the trial period.
Section 11 Availability and limits of performance
(1) The Provider guarantees a system availability of the portal of 98% on an annual average. Periods of force majeure and announced maintenance work are excluded. Where possible, maintenance work is announced 48 hours in advance and preferably carried out at times of low usage.
(2) The tracking function technically depends on the availability of mobile networks and satellite signals (GNSS) and on the charge level of the device. In particular, the following are not guaranteed: uninterrupted access, availability of all mobile networks, a specific positioning accuracy and error-free data transmission. In buildings, underpasses or remote areas, tracking may be limited or impossible.
(3) The tracking service is an aid, but not a substitute for supervising animals. It is not intended for safety-critical applications, personal emergency call systems or applications in which a failure can lead to injury to life, body or health.
Section 12 Obligations of the user, prohibited use
(1) The user undertakes to use the service lawfully, in particular to comply with data protection requirements when tracking.
(2) The following are prohibited in particular:
- tracking persons without their express consent; covert surveillance of persons may be a criminal offence,
- using the tracker on property belonging to others without the consent of the person entitled to it,
- removing the SIM card or using it outside the device,
- passing on login credentials to third parties (the share function provided in the app remains permitted),
- using automation software and any abusive use or use that places an excessive load on the system.
(3) In the event of serious or repeated violations, the Provider may block access and terminate the contractual relationship by extraordinary termination.
Section 13 Right of withdrawal
(1) Consumers have a statutory right of withdrawal. Details are set out in the instructions on withdrawal, available at locogps.de/en/withdrawal.
(2) In the case of the subscription, performance of the service already begins during the withdrawal period if the customer requests this when taking out the subscription. In the event of withdrawal, proportionate compensation for the service provided up to the withdrawal must then be paid; no compensation is payable during a free trial period.
Section 14 Liability
(1) The Provider has unlimited liability in cases of intent or gross negligence, for injury to life, body or health and under the German Product Liability Act.
(2) In cases of slight negligence, the Provider is only liable for breach of material contractual obligations (obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely), limited to the foreseeable damage typical for this type of contract.
(3) Any further liability is excluded. In particular, the Provider is not liable for damage resulting from use contrary to Section 11(3) or Section 12.
(4) The statutory rights in respect of defects apply to purchased devices. Paragraphs 2 and 3 only concern claims for damages and do not restrict these rights.
Section 15 Changes to these Terms and Conditions
(1) The Provider may amend these Terms and Conditions with effect for the future insofar as this is necessary due to changes in statutory requirements, changes in case law or technical developments and does not unreasonably disadvantage the customer. The price and core services of the current subscription cannot be changed in this way.
(2) Changes are announced by email at least 4 weeks before they take effect. If the customer does not object within the period stated in the announcement, the changes are deemed accepted; the announcement specifically points out this consequence. In the event of an objection, either party may cancel the subscription with effect from the date on which the change takes effect.
Section 16 Data protection
(1) Personal data is processed in accordance with the separate privacy policy, available at locogps.de/en/privacy.
(2) The customer is personally responsible for the lawful use of the tracking functions in relation to third parties.
Section 17 Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as the customer is not thereby deprived of the protection of mandatory consumer protection provisions of the state in which they have their habitual residence.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Vreden.
(3) Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
(4) We are neither obliged nor willing to take part in dispute resolution procedures before a consumer conciliation body (§ 36 VSBG, German Consumer Dispute Resolution Act).
